These Terms govern your use of City Best Awards,
including business listings, nominations,
voting, accounts, Promotion Tools, Sponsored
Placement, digital assets, purchases, and other
services available through CityBestAwards.com.

Important:
Paid City Best Awards products may provide
promotional tools, analytics, campaign assets,
Custom Voting Pages, or clearly labeled Sponsored
Placement. A purchase does not create votes,
increase vote weight, guarantee a ranking, or
determine an award winner.
1. Acceptance and Scope
These Terms of Service (“Terms”) govern your
access to and use of CityBestAwards.com and
services provided by City Best Awards
(“City Best Awards,” “CBA,” “we,” “us,” or
“our”).
By accessing or using City Best Awards,
creating an account, claiming or managing a
business listing, submitting content,
nominating or voting for a business, or
purchasing a product or service, you agree to
these Terms.
Our
Privacy Policy
explains how we handle personal information.
Award participation is also subject to our
Official Rules.
If you do not agree to these Terms, do not use
the service or complete a purchase.
2. The City Best Awards Service
City Best Awards is a local-business discovery
and recognition platform.
Depending on the feature, City Best Awards may
allow users and businesses to:
Search for and view local businesses.
Create accounts and profiles.
Add, claim, verify, or manage business
listings.
Nominate and vote for eligible businesses.
Participate in local business award
programs.
Publish reviews, posts, media, responses,
messages, or other content.
Follow businesses, categories, or
locations.
Purchase Promotion Tools, Custom Voting
Pages, Sponsored Placement, analytics,
campaign resources, digital assets,
advertising, or other services.
Use voting links, QR codes, graphics,
widgets, website tools, and campaign
resources where available.
Features and product offerings may change over
time.
The
Official Rules
governing nominations, voting, eligibility,
vote integrity, winner selection,
sponsored visibility, and official award
assets.
Product-specific pricing, licensing,
duration, renewal, or other terms shown
with a product or during checkout.
If product-specific terms conflict with these
Terms, the more specific terms control for
that product. If the Official Rules conflict
with these Terms on an award-program issue,
the Official Rules control for that issue.
4. Eligibility and Authority
If you create an account, claim or manage a
business, submit information on behalf of a
business, or make a purchase, you represent
that:
The information you provide is materially
accurate.
You have authority to take the requested
action.
You are legally capable of entering the
applicable agreement.
If acting for an organization, you are
authorized to act for that organization.
City Best Awards may request verification of
identity, authority, business ownership,
location, service area, or operating status.
5. Accounts and Security
You are responsible for maintaining accurate
account information, safeguarding your
authentication credentials, and activity
conducted through your account.
You may not sell, transfer, impersonate,
compromise, or misuse another person's account.
We may require additional verification,
restrict access, or suspend activity where
account security or authority is in question.
6. Business Listings and Claims
City Best Awards may create and maintain
business listings using information supplied by
business owners, users, public sources,
business websites, directories, data
providers, feeds, or other lawful sources.
A City Best Awards listing:
Does not by itself constitute an
endorsement, certification, partnership,
or guarantee by City Best Awards.
May contain information supplied by third
parties.
May be corrected, supplemented, merged,
moved, suspended, or removed.
May be claimed by an authorized business
owner or representative subject to
verification.
Businesses are responsible for the accuracy of
information they submit or control.
Claiming a listing does not transfer ownership
of City Best Awards software, rankings,
interfaces, page layouts, systems, or
intellectual property.
7. Nominations, Voting, and Awards
Nominations, voting, eligibility, vote
integrity, winner selection, Sponsored
Placement, and official award assets are
governed by the
Official Rules.
No purchase is required to be nominated,
receive eligible votes, become a finalist,
or win.
Purchases do not create votes or increase
vote weight.
Paid promotion does not determine award
results.
Sponsored visibility is identified as
sponsored or otherwise paid.
Votes may be reviewed or excluded when
automated, duplicated, manipulated,
fraudulent, ineligible, or otherwise
inconsistent with the Official Rules.
You may not misrepresent a nomination, vote
total, ranking, finalist status, sponsorship,
endorsement, or award result.
8. User Content
“User Content” includes reviews, posts,
comments, photos, videos, messages, profile
information, business descriptions, logos,
business responses, and other materials you
submit.
You retain ownership of rights you hold in your
User Content.
By submitting User Content, you grant City Best
Awards a non-exclusive, worldwide,
royalty-free, sublicensable license to host,
store, reproduce, format, display, publish,
distribute, and technically adapt the content
as reasonably necessary to operate, promote,
secure, and improve the service.
You represent that you have the rights and
permissions necessary to submit the content
and grant this license.
Probe, attack, disrupt, overload, reverse
engineer, or attempt unauthorized access to
systems or data.
Interfere with another user, business,
nomination, vote, listing, or transaction.
Misuse City Best Awards trademarks,
badges, certificates, marks, or branded
assets.
10. Paid Products and Services
City Best Awards may offer optional paid
products and services, including Premium
Promotion Tools, Custom Voting Pages, campaign
tools, sponsored visibility, advertising,
analytics, digital award assets, and other
promotional products.
The description, price, included features,
scope, duration, eligibility requirements, and
limits shown on the product page or during
checkout are part of the purchase terms.
Unless expressly stated otherwise:
A promotional purchase does not purchase
votes.
Sponsored Placement does not guarantee
votes, rankings, award results, impressions,
traffic, leads, or sales.
Purchasing an award asset does not create
or alter an award result.
A product may apply only to a specified
business, nomination, category, location,
award period, or season.
11. Prices and Promotional Offers
Prices are shown before purchase and may change
prospectively.
Promotional, introductory, eligibility-based,
or limited-time pricing may be available only
while the stated eligibility requirements are
satisfied.
City Best Awards system records may be used to
determine eligibility and expiration of an
offer.
You are responsible for applicable taxes,
charges, or fees unless checkout states
otherwise.
12. Payment Processing
Payments may be processed by third-party
payment processors such as Stripe.
By submitting a payment method, you represent
that you are authorized to use it and authorize
the charges displayed at checkout.
City Best Awards may use payment status and
transaction identifiers to verify payment,
prevent duplicate orders, prevent fraud,
fulfill purchases, and maintain billing
records.
A payment authorization or successful charge
does not require fulfillment of a transaction
that is fraudulent, unauthorized, technically
invalid, associated with a materially
mismatched amount, or otherwise inconsistent
with the purchase terms.
If payment is captured but the purchased
product cannot be fulfilled, City Best Awards
will take reasonable steps to resolve the
order, provide the purchased service, or issue
an appropriate refund where required.
13. Renewals and Recurring Charges
A City Best Awards product renews or recurs
only when the applicable product page or
checkout expressly identifies the purchase as
recurring.
For a recurring product, the applicable
disclosure will identify the billing interval,
renewal terms, and pricing information.
By affirmatively accepting a recurring
purchase, you authorize the disclosed recurring
charges until the recurring service is
cancelled or otherwise ends.
A one-time product will not be converted into
recurring billing unless recurring billing is
affirmatively disclosed and accepted.
14. Cancellations and Refunds
Cancellation and refund eligibility may depend
on the product, its delivery status, and any
product-specific terms shown at checkout.
Duplicate charges, unauthorized transactions,
billing errors, or failures to provide a
purchased product should be reported promptly
so that City Best Awards can investigate.
Nothing in these Terms limits rights that
cannot legally be waived.
15. Digital Assets and Licenses
City Best Awards badges, certificates, logos,
templates, graphics, animations, verification
marks, and other branded award materials are
owned by or licensed to City Best Awards.
Purchasing or receiving access to a digital
award asset provides only the applicable
license described with the product and the
Official Rules.
Unless expressly stated otherwise, the license:
Applies only to the identified business,
award, category, location, placement,
and year.
Does not transfer ownership of City Best
Awards marks or designs.
Does not permit alteration or use that
falsely implies an award or result.
May be revoked for fraud,
misrepresentation, infringement, or
invalidated award status.
16. Sponsored Placement and Advertising
Sponsored, promoted, or paid placement may
affect visibility, but does not alter vote
weight or award results.
Sponsored inventory may rotate, may be limited,
and may be subject to eligibility
requirements.
Unless a written offer expressly guarantees a
metric, City Best Awards does not guarantee
impressions, clicks, visits, leads, sales,
votes, or other performance.
17. Communications
By using City Best Awards, you may receive
transactional or service communications
relating to account security, purchases,
billing, business claims and listings,
nominations, voting, or support activity.
Marketing communications are subject to
applicable law and available opt-out controls.
Unsubscribing from marketing does not prevent
necessary transactional or service
communications.
18. Third-Party Services
City Best Awards may link to or integrate with
business websites, mapping services, social
networks, payment processors, communications
providers, analytics services, and other
third-party services.
City Best Awards does not control third-party
services and is not responsible for their
availability, content, privacy practices,
security, products, or conduct.
19. Intellectual Property
Except for User Content and third-party
materials, City Best Awards and its licensors
own the service, software, design,
compilation, text, graphics, logos, marks,
interfaces, and other protected materials.
Subject to these Terms, you receive a limited,
revocable, non-exclusive, non-transferable
right to access and use the service for its
intended purposes.
No right is granted to reproduce, distribute,
sell, sublicense, reverse engineer, create a
competing derivative service from, or
commercially exploit City Best Awards
intellectual property except where expressly
authorized.
20. Moderation and Enforcement
City Best Awards may investigate suspected
violations and may restrict or suspend access,
remove content, restrict business-management
privileges, invalidate abusive activity, or
take other reasonable action to protect users,
businesses, voters, award integrity, and the
platform.
Where appropriate, City Best Awards may
preserve records, cooperate with service
providers, comply with lawful process, or
report unlawful conduct.
21. Service Availability and Changes
City Best Awards may add, modify, suspend, or
discontinue features, categories, locations,
award schedules, products, interfaces, or
operational procedures.
We do not guarantee uninterrupted availability.
Interruptions may result from maintenance,
traffic management, security controls, fraud
review, hosting failures, third-party outages,
attacks, or circumstances outside our
reasonable control.
22. No Endorsement
A business listing, nomination, review,
Sponsored Placement, search result, profile,
finalist reference, or award-related reference
does not by itself constitute an endorsement,
certification, or guarantee by City Best
Awards concerning a business's quality,
licensing, insurance, safety, availability,
pricing, or suitability.
Users are responsible for evaluating businesses
and making their own purchasing, hiring, and
service decisions.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITY
BEST AWARDS AND THE SERVICE ARE PROVIDED
“AS IS” AND “AS AVAILABLE.”
CITY BEST AWARDS DISCLAIMS WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY,
AND AVAILABILITY EXCEPT TO THE EXTENT A
WARRANTY CANNOT LEGALLY BE DISCLAIMED.
We do not warrant that the service will be
uninterrupted, error-free, or that any
business listing, award, Promotion Tool,
analytics report, advertising campaign,
Sponsored Placement, or other paid product
will produce a particular commercial result.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITY
BEST AWARDS AND ITS AFFILIATES, OWNERS,
OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS,
AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR
INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY,
PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST
PROFITS; LOST REVENUE; LOST DATA; BUSINESS
INTERRUPTION; OR LOSS OF GOODWILL ARISING OUT
OF OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE
AGGREGATE LIABILITY OF CITY BEST AWARDS FOR
CLAIMS ARISING OUT OF OR RELATING TO A PAID
PRODUCT OR THE SERVICE WILL NOT EXCEED THE
GREATER OF (A) THE AMOUNT YOU PAID TO CITY
BEST AWARDS FOR THE PRODUCT OR SERVICE GIVING
RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE
THE EVENT GIVING RISE TO LIABILITY OR
(B) $100.
Some jurisdictions do not allow certain
exclusions or limitations, so some of these
limitations may not apply to you.
25. Indemnification
To the extent permitted by law, you agree to
defend, indemnify, and hold harmless City Best
Awards and its affiliates, owners, officers,
employees, contractors, licensors, and service
providers from claims, liabilities, damages,
judgments, losses, and reasonable costs arising
from your unlawful use of the service, your
User Content, violation of these Terms or the
Official Rules, infringement of another
person's rights, or unauthorized
representation of a business.
This provision does not require a consumer to
indemnify City Best Awards for City Best
Awards' own unlawful conduct where prohibited
by law.
26. Governing Law and Venue
These Terms are governed by the laws of the
State of Nevada, without regard to conflict-of-
law principles, except where applicable
consumer law requires otherwise.
Unless applicable law requires another forum,
disputes not resolved informally will be
brought in state or federal courts having
jurisdiction in Clark County, Nevada.
27. Changes to These Terms
City Best Awards may update these Terms to
reflect changes in the service, products,
business practices, security requirements, or
applicable law.
The updated Terms will be posted with a revised
effective date. Where required, additional
notice or renewed consent may be provided.
A purchase is governed by the version of the
Terms accepted for that transaction, together
with later terms that you separately accept.
28. Miscellaneous
If any provision of these Terms is held
unenforceable, the remaining provisions remain
effective to the extent permitted by law.
Failure to enforce a provision is not a waiver
of that provision.
These Terms, together with the incorporated
policies and applicable product-specific
terms, constitute the agreement concerning the
services covered by them.
